Acceptance of Terms
By placing an order or using Imipolex services, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
Product Descriptions
We strive for accuracy in all product descriptions, lot notes, and specifications. However, surplus inventory may vary slightly from descriptions. We disclose known variations and grade all materials honestly. Cosmetic variance is normal and expected.
Pricing
Prices are subject to change without notice due to the nature of surplus inventory. Prices are confirmed at the time of order placement. Pricing errors will be corrected and you will have the option to accept the corrected price or cancel the order.
Payment Terms
- Retail customers: Payment due at time of order (credit card, bank transfer)
- Trade account holders: May qualify for net-30 terms upon credit approval
- We accept Visa, Mastercard, American Express, and ACH transfers
Order Acceptance
All orders are subject to acceptance and product availability. We reserve the right to refuse or cancel orders at our discretion, including orders that appear fraudulent, exceed available inventory, or violate these terms.
Limited Warranty
Products are sold as-is with no express or implied warranties beyond those provided by the original manufacturer (if applicable). Surplus, downfall, and factory second lots are sold with all faults as described in product listings.
Original manufacturer warranties may not apply to surplus/downfall/factory second materials. Imipolex quality policy applies in place of OEM warranties unless explicitly stated otherwise.
Limitation of Liability
Our liability is limited to the purchase price of the product. We are not liable for:
- Consequential or incidental damages
- Installation labor or costs
- Project delays
- Loss of use or opportunity
- Damages exceeding the purchase price
Indemnification
You agree to indemnify Imipolex from claims arising from your use of materials, including improper installation, failure to follow manufacturer guidelines, or use in applications beyond product specifications.
Governing Law
These terms are governed by the laws of the state of Ohio. Any disputes will be resolved in courts located in Ohio.
Changes to Terms
We may update these terms at any time. Continued use of our services constitutes acceptance of updated terms.
